Terms of Service for ShopFlix AI

1. Agreement to Terms

By installing and using ShopFlix AI ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms apply to:

  • Installation and use of the ShopFlix AI Shopify app
  • Access to our services and features
  • Processing of your data through the App

2. Service Description

ShopFlix AI is a Shopify app that provides:

  • AI-powered product listing analysis and correction
  • Automated category generation and suggestions
  • Product metadata enrichment (GTIN lookup, description rewriting)
  • Multi-platform product research and comparison
  • Store SEO and listing quality checks
  • Product import and duplication features

The App operates on a subscription basis with multiple pricing tiers.

3. Eligibility and Account Terms

3.1 Eligibility

  • You must be 18 years or older
  • You must own or have authorization to operate a Shopify store
  • You must comply with Shopify's Terms of Service and all applicable laws

3.2 Account Responsibility

  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities under your account
  • You must notify us immediately of unauthorized access
  • You agree to provide accurate and complete information during registration

4. Subscription and Billing

4.1 Billing Cycle

  • Subscriptions renew automatically on a monthly or annual basis (depending on your plan)
  • You authorize us to charge the payment method on file for your chosen plan
  • All prices are in USD unless otherwise specified

4.2 Plan Changes

  • You may upgrade or downgrade your plan at any time
  • Plan changes take effect at the start of your next billing cycle
  • Credits are not issued for mid-cycle downgrades (unused portion)

4.3 Cancellation

  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of your current billing period
  • No refunds are issued for partial months or unused service time
  • Your data will be deleted according to our Privacy Policy

4.4 Failed Payments

  • If payment fails, you have 5 days to update your payment method
  • After 5 days, your subscription will be automatically canceled
  • The App may become non-functional if payment is unsuccessful

5. Acceptable Use Policy

You agree NOT to use the App to:

  • Violate any applicable laws, regulations, or third-party rights
  • Infringe on intellectual property rights (copyrights, trademarks, patents)
  • Scrape, copy, or redistribute copyrighted product content without authorization
  • Engage in unauthorized access or hacking attempts
  • Submit false, fraudulent, or misleading product information
  • Create duplicate, spam, or prohibited product listings
  • Resell or redistribute the App or its services
  • Reverse engineer, decompile, or attempt to derive source code
  • Overload the App infrastructure with excessive requests
  • Use the App for any illegal purposes or to facilitate illegal activity

6. Intellectual Property Rights

6.1 App Ownership

  • The App, including all code, features, and design, is owned by ShopFlix AI
  • You are granted a limited, non-exclusive, revocable license to use the App
  • All rights not explicitly granted are reserved

6.2 Your Content

  • You retain ownership of your product data and store information
  • By using the App, you grant us a license to process, analyze, and store your data
  • You are responsible for ensuring you have rights to all data you provide

6.3 Third-Party Content

  • The App may include content, APIs, and services from third parties
  • We are not responsible for third-party content or services
  • Third-party use is governed by their respective terms of service

7. Service Limitations and Disclaimers

7.1 "As-Is" Provision

The App is provided "AS IS" without warranties of any kind, express or implied, including:

  • Merchantability or fitness for a particular purpose
  • Non-infringement of third-party rights
  • Uninterrupted service availability
  • Error-free or secure operation

7.2 Service Availability

  • We do not guarantee 100% uptime or continuous service availability
  • Scheduled maintenance may result in temporary service interruptions
  • Emergency maintenance may occur with limited notice
  • Service interruptions are not grounds for refunds or compensation

7.3 Data Accuracy

  • AI-generated suggestions and corrections are provided as recommendations only
  • You are solely responsible for reviewing and approving all changes to your store
  • We do not guarantee the accuracy of third-party product data or web scraping results
  • Platform availability or data accuracy from external sources (Amazon, eBay, etc.) is beyond our control

7.4 Limitation of Liability

To the maximum extent permitted by law, we are not liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from your use or inability to use the App
  • Third-party claims or actions
  • Errors in AI analysis or product recommendations

Total liability cap: Your subscription fees paid in the 12 months preceding the claim

8. Indemnification

You agree to indemnify and hold harmless ShopFlix AI from any claims, damages, or costs (including legal fees) arising from:

  • Your violation of these Terms
  • Your violation of applicable laws
  • Your use of the App
  • Disputes over ownership of your product data
  • Third-party claims related to content you submitted

9. Third-Party Services and Integrations

9.1 External APIs

The App integrates with:

  • Shopify API and services
  • Google Gemini API (AI analysis)
  • Third-party e-commerce platforms (Amazon, eBay, Walmart, AliExpress, etc.)

9.2 Third-Party Terms

  • Use of third-party services is governed by their respective terms of service
  • We are not responsible for third-party service interruptions or changes
  • Third-party API rate limits may affect App functionality

10. Data and Privacy

  • Your use of the App is governed by our Privacy Policy
  • You consent to data processing as described in the Privacy Policy
  • You are responsible for complying with GDPR, CCPA, and other privacy laws
  • We may delete your data according to our retention policies

11. Modifications to the App and Terms

11.1 Service Changes

We reserve the right to:

  • Modify, suspend, or discontinue any feature or the entire App
  • Change pricing and subscription terms (with 30 days' notice)
  • Update these Terms at any time

11.2 Notification of Changes

  • Significant changes will be communicated via email or in-app notification

12. Termination

We may terminate or suspend your account if:

  • Your payment method fails and is not updated
  • Your use poses security or legal risks
  • Legal requirements necessitate termination

12.3 Effects of Termination

Upon termination:

  • Your access to the App is immediately revoked
  • Your data is deleted according to our Privacy Policy
  • Outstanding subscription fees remain due
  • Sections 6, 7, 8, and 13-15 survive termination

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms are governed by the laws of your jurisdiction, without regard to conflict of laws principles.

13.2 Dispute Resolution

  • You agree to attempt informal resolution before pursuing legal action
  • Any legal action must be brought within one (1) year of the claim arising
  • Both parties consent to venue in the appropriate courts

14. Feedback and Suggestions

Any feedback, suggestions, or feature requests you provide becomes our property. We may use these without compensation or attribution.
